When doing your due diligence, you should not limit your research to one state’s records or any one database. Rather you should conduct a comprehensive search including, but not limited to state, federal and international trademarks along with common law rights. All LLCs will have owners (aka members). In most states, LLCs have the option to have “managers” in addition to the members. While a manager is typically also a member, managers do not have to be members.
If the LLC does not elect to have managers, it will be member-managed (i.e. governed by the members) and each member votes their respective ownership %. For example, a four member LLC (one that owns 40% and the remaining three 20% each). You can get a simple majority to take action if the three 20% owners agree or one 20% and the 40% owner agree.
If the LLC elects to have managers then the LLC will be governed by the manager(s) and we call this a "manager-managed" LLC. A manager-managed LLC resembles a corporation where you have shareholders (like members) and directors (like managers). In a manager-managed LLC, the managers are elected by the members.
Unlike a corporation, an LLC is NOT required to have officers. Many LLC owners desire to have a title like president or CEO rather than managing member or manager. In this scenario the LLC would opt to have officers (i.e. president, CEO, etc.).
If you elect to have officers, you will then have the ability to tell us what officer titles you want to use and who will have these titles.

- Privacy. For home-based companies, keep your residential address private and not a matter of public record.
- Avoid Embarrassment. Avoid having your clients, vendors, or employees encounter a Sheriff or Process Server serving claims at your place of business.
- Efficiency. Make sure that the right person receives any legal documents in a timely manner to protect your company from any delays that could result in a default judgment against your company.

- Compliance. Most professional registered agents provide online web application tools which simplify the maintenance of corporate compliance with State laws and filing deadlines.
